License Policy
DEFINITIONS. “Bonfire” means Built By Bonfire and its affiliates. “Materials” means any template, section, widget, code, asset, image, style, or documentation provided by Bonfire. “Licensee” means any person or entity that downloads, receives, opens, uses, views, or otherwise accesses Materials. “Use” or “using” includes hosting, deploying, copying, installing, demonstrating, displaying, embedding, modifying, sublicensing, distributing, publishing, offering for sale, or making available.
GRANT OF LICENSE. Bonfire grants Licensee a limited, revocable, non-sublicensable, non-transferable, non-exclusive license to use the Materials solely to build, maintain, or modify websites for Licensee’s direct clients in accordance with this Agreement. Any use not explicitly permitted by this paragraph is prohibited. This license is personal to the Licensee and may be revoked by Bonfire at any time for any breach.
ABSOLUTE PROHIBITIONS. While using Built By Bonfire Materials, you must not under any circumstance sell, redistribute, transfer, license, lease, lend, or otherwise make available the Materials, in whole or in part, to any third party for commercial resale or distribution; you must not claim ownership, authorship, or exclusive rights to any Materials or present them as your original work; and you must not copy, clone, reproduce, adapt, re-create, port, rebrand, repackage, or offer any Materials or substantially similar designs, widgets, or functionality on any competing marketplace, template service, theme shop, plugin store, or through any platform or service that offers templates or widgets to third parties. These prohibitions are strict and apply even where you make minor changes, remove copyright or trademark notices, or use Materials as a basis for so-called “inspired” works intended for public sale, distribution, or use in services that compete with Bonfire.
INTELLECTUAL PROPERTY; NOTICES. All right, title and interest in the Materials remain with Bonfire. You must not remove, obscure, alter, or modify any copyright, trademark, or proprietary notices, metadata, or digital watermarks embedded in or accompanying the Materials. You have no right to register, assert, or apply for copyright, trademark, design patent, or any other intellectual property protection in any Materials or modifications thereto. You must respect third-party trademark guidelines (for example, platforms’ trademark rules regarding brand names and logos) when referencing platform names or logos in marketing or documentation; failure to comply with such third-party trademark rules is an independent violation of this license.
ENFORCEMENT, REMEDIES, AND LIQUIDATED DAMAGES. Breach of any prohibition above shall constitute a material breach entitling Bonfire to immediate injunctive relief, permanent revocation of all licenses and access, and to pursue all available legal and equitable remedies. In addition to any other recovery, Licensee agrees that for each distinct Material (each template or widget) that is sold, redistributed, copied, offered, or otherwise exploited in violation of this Agreement, Bonfire is entitled to liquidated damages in the amount of $100,000 USD per Material (notwithstanding actual damages), plus an amount equal to any revenue or profit Licensee derived from the infringing activity. If local law limits enforceable liquidated damages, Bonfire’s entitlement shall include statutory damages available under applicable law for willful infringement. Licensee acknowledges that these sums are a reasonable pre-estimate of harm and do not preclude injunctive relief, accountings, or other remedies.
TERMINATION, DISABLEMENT, AND REMOVAL. Bonfire may, without notice, suspend, disable, or terminate Licensee’s access to any Materials or related accounts and may remotely disable or remove Materials deployed on server infrastructure under Bonfire’s control. Bonfire may require immediate removal of Materials from publicly accessible sites, marketplaces, or repositories. Where Bonfire reasonably suspects ongoing or planned infringement, Bonfire may take any lawful technical, administrative, or legal action necessary to prevent distribution, including cooperating with hosts, marketplaces, payment processors, and platform providers to remove infringing materials.
AUDIT RIGHTS AND FORENSIC REMOVAL. Upon request, Licensee must promptly provide records, repository access, hosted site URLs, and any other information necessary to verify compliance. Bonfire has the right to appoint an independent auditor at Licensee’s expense to verify compliance; Licensee must cooperate fully. If forensic analysis reveals removal, obfuscation, or tampering with proprietary notices, Licensee will be responsible for all costs of investigation and remedial action.
INJUNCTIVE RELIEF AND CRIMINAL REFERRAL. Licensee acknowledges that monetary damages are insufficient to remedy breaches and that Bonfire will seek immediate and permanent injunctive relief in any competent tribunal. Bonfire will not hesitate to refer willful and egregious bad actors for civil and criminal prosecution where appropriate.
INDEMNITY; EXPENSES. Licensee shall indemnify, defend, and hold Bonfire harmless from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees and costs) arising from Licensee’s breach, misuse, redistribution, sale, or any other unauthorized exploitation of the Materials.
NO WAIVER; SURVIVAL. No failure or delay by Bonfire in exercising any right shall constitute a waiver of that right. The obligations in this Agreement, including the prohibitions, indemnities, audit rights, liquidated damages, and Bonfire’s remedies, survive termination or expiration of any license.
ATTORNEYS’ FEES AND COSTS. If Bonfire takes action to enforce this Agreement, the prevailing party shall be entitled to recover reasonable attorneys’ fees, court costs, and all collection expenses incurred in enforcing its rights.
SEVERABILITY; GOVERNING LAW; VENUE. If any provision is found invalid, the remainder shall remain in full force and effect. This Agreement is governed by the laws of the Republic of Panama, without regard to conflicts of law principles, and all disputes will be resolved exclusively in the competent courts located in Panama City, Panama, to the extent permitted by law.
ACCEPTANCE; BINDING EFFECT. By downloading, opening, installing, using, or otherwise accessing any Bonfire Materials, Licensee accepts and is bound by this Agreement in full. No contrary terms submitted by Licensee shall apply unless expressly agreed in a written license executed by an authorized officer of Bonfire. Any purported agreement, resale, transfer, or license inconsistent with this Agreement is void and of no effect.
NOTICE. Bonfire will aggressively monitor template marketplaces, repositories, and other distribution channels for infringements. If you become aware of any unauthorized use, you must immediately notify Bonfire at legal@builtbybonfire.com and provide all relevant information.
FINAL WARNING. There are no exceptions. Attempts to circumvent these restrictions by splitting, obfuscating, renaming, using third parties, or employing any other method to hide infringing conduct will be treated as aggravated, willful misconduct and will multiply remedies, including increased liquidated damages, expedited injunctive relief, additional accounting, and criminal referral. If you are not willing to comply fully and forever with every requirement above, do not use Bonfire Materials.
